Terms of Service

1. Acceptance

By accessing or using VigilReady (“the Service”), you agree to be bound by these Terms of Service on behalf of yourself and your organization. If you do not agree, do not use the Service. These terms are between you and VigilReady LLC (“we,” “us,” or “our”).

The Service is designed for licensed disability services providers to manage compliance documentation for their clients. You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

3. HIPAA Obligations

You acknowledge that the Service may be used to create, receive, maintain, or transmit Protected Health Information (PHI) as defined under HIPAA. You are responsible for ensuring your organization’s use of the Service complies with HIPAA and any applicable state privacy laws. We maintain a Business Associate Agreement (BAA) with our infrastructure provider (AWS). Contact us to execute a BAA between your organization and VigilReady LLC before uploading PHI.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security risk.

5. Data Ownership

You retain ownership of all data you upload to the Service. We do not claim any intellectual property rights over your content. You grant us a limited license to store, process, and display your data solely to provide the Service.

6. Fees, Billing and Cancellation

Subscription fees are billed monthly in accordance with the pricing agreed with your organization. Any one-time implementation fee is quoted and invoiced separately at signup. Either party may cancel the subscription with 30 days’ written notice; fees already invoiced for the current period are not refunded on a partial-month basis. Failure to pay may result in suspension of access, but we will not delete or withhold records your organization is required to retain by law.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses resulting from service interruptions beyond our reasonable control.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure from all possible threats.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from your use of the Service shall not exceed the fees paid by your organization in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Termination

Either party may terminate the Service relationship with 30 days written notice. We may terminate immediately for material breach of these Terms, including unauthorized use or security violations. Upon termination, your data will be retained for seven (7) years per HIPAA requirements and then securely deleted.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which VigilReady LLC is incorporated, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
